Welcome to Pivotails. These Terms & Conditions govern your use of our website and engagement with Pivotails' services. By accessing or entering into a service agreement with Pivotails, you agree to the terms outlined below. If you do not agree with these terms, you must not access or use our services or platform.

• “Client”: The individual or entity purchasing services from Pivotails.

• “Deliverables”: Any digital or creative output provided by Pivotails, including but not limited to graphics, models, videos, code, and documentation.

• “Agreement”: Any written or digital confirmation (proposal, contract, invoice) accepted by the Client.

• “Force Majeure”: Events beyond reasonable control, including acts of God, internet outages, pandemics, etc.

Pivotails is a visual-first creative and technology agency specializing in:

• AR/VR & 3D Content Development

• VFX & Cinematic Post-Production

• Brand Identity & Visual Strategy

• Website Design & Interactive UX

• Architectural Visualization

• High-End Color Grading & Consulting

• Visual Digital Marketing Campaigns

These Terms apply to all forms of engagements, including inquiries, consultations, proposals, purchases, and usage of our website and materials.

a. Initial Discovery & Proposal
Clients may request services through our website, email, or direct outreach. After discovery discussions, a detailed project proposal or quotation will be provided, outlining:

• Scope of Work

• Timeline & Milestones

• Deliverables & Formats

• Cost Breakdown

• Revision Terms

• Additional Conditions
   

b. Approval & Onboarding
Work commences only upon:

• Written approval of the proposal (email or signed doc)

• Receipt of the initial advance payment

• Provision of necessary assets/information by the client.
   

a. Standard Payment Structure

• 50% advance to initiate work

• Remaining 50% before final deliverables are handed over

• Milestone-based billing for larger projects is available on request
   

b. Invoices & Taxes

• Invoices are digitally issued via email and may include applicable taxes (GST if applicable)

• Clients are responsible for processing payments via approved channels (UPI, bank transfer, Stripe, Razorpay, etc.)
   

c. Late Payments
Late payments beyond 7 days from due date will incur a 10% weekly penalty, unless otherwise discussed.
 
d. Refund Policy
Refunds are not applicable once work has commenced. In cases of project cancellation initiated by the client, the advance payment is retained as compensation for resource
allocation and opportunity cost.

 

• 2–3 rounds of revisions are included unless stated otherwise

• Additional revisions, scope changes, or new requests will be billed separately

• Final deliverables will be shared in agreed formats (e.g., FBX, PSD, MP4, PNG, etc.)

• Unused design options, rejected concepts, or drafts remain the property of Pivotails and may not be used without permission.

a. Estimated Timelines
Every project includes a delivery timeline, which is contingent on timely inputs and approvals from the client.
 
b. Client Delays
If the client fails to respond or deliver required assets for more than 7 working days, Pivotails reserves the right to:

• Pause the project timeline

• Reassess the quote if project scope changes

• Cancel the project with applicable retention of payments
   

c. Force Majeure
Pivotails is not liable for delays caused by events outside of our control — such as natural disasters, strikes, technical failures, or platform outages.
 

a. Ownership of Deliverables

• Upon final payment, clients receive full rights to the final deliverables.

• Pivotails retains rights to all drafts, source files, concepts, and unused variations unless purchased separately.
   

b. Usage of Work

• Clients may use the deliverables strictly for the purposes outlined in the project brief.

• Re-sale, redistribution, or significant modification of our work without consent is not permitted.
   

c. Portfolio Display

Pivotails reserves the right to showcase final deliverables for marketing, portfolio, and case studies — unless a non-disclosure agreement (NDA) is signed.

 

• All confidential business information shared with Pivotails is protected and will not be disclosed or shared without written consent.

• NDAs are available for enterprise, stealth, or sensitive projects upon request.

• We adhere to data security and client privacy best practices at all stages of the project.

While we take utmost care and professional standards in our services, Pivotails is not liable for:

• Losses due to improper use of our deliverables

• Performance issues from third-party tools/platforms (e.g., ad platform rejections, hosting outages, copyright issues)

• Technical incompatibilities or misuse of assets post-delivery

• Damages beyond the fees paid for the project

You agree to use Pivotails.com and its associated services lawfully and responsibly. You must not:

• Attempt to hack, interfere, or misuse the site

• Copy or redistribute text, images, or code without permission

• Submit fraudulent or unsolicited information through contact forms

Pivotails reserves the right to block, report, or pursue legal action for misuse or malicious behavior.

• Clients are responsible for their own domain, hosting, and platform subscriptions unless agreed otherwise.

• Pivotails is not liable for issues arising from external integrations (e.g., Wix, Framer, Meta Ads, Analytics).

• We recommend clients review and maintain their accounts and credentials securely.

Either party may terminate the agreement in writing if:

• One party breaches the agreed terms and fails to remedy it within 7 working days

• The project remains inactive for more than 30 days

• Creative or strategic alignment is no longer possible

In such cases, clients are billed for all completed work, and rights to unfinished work remain with Pivotails.

These Terms are governed by the laws of India. Any dispute shall be exclusively heard in the courts of [Your City, e.g., Bengaluru/Mumbai/Chennai], India.

Pivotails reserves the right to revise these Terms & Conditions without prior notice. Clients are encouraged to periodically review this page. Continued use of our services or website post-amendment implies consent to the new terms.
